Overview

These Terms of Service ("Terms") govern your use of the SimplistUGC website and mobile application (collectively, the "Service"). SimplistUGC ("we", "us", "our") refers to the SimplistUGC service operated by its creator. By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

Service description

SimplistUGC is a filming productivity tool for content creators. It is currently in early access / pre-launch phase. The website is an informational site and waitlist registration service. The app, when available, allows users to organize filming projects, create shot lists, save filming locations, and receive location-based and deadline reminders.

Features, availability, and pricing may change as the product develops.

Eligibility

You must be at least 13 years old to use the Service. By using the Service you represent that you meet this requirement.

Early access

The Service may be offered as a beta or early-access product. Features may change, malfunction, or be removed without notice.

Acceptable use

You agree to use the Service only for lawful purposes and in ways that do not infringe the rights of others. You must not:

• Use the Service to store or share illegal, harmful, or offensive content
• Attempt to gain unauthorized access to any part of the Service
• Use automated tools to scrape, crawl, or interact with the Service without permission
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Service in any way that could damage, disable, or impair its operation

Intellectual property

The Service and its original content, features, and functionality are owned by SimplistUGC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without written permission.

User content

Content you create within the app (projects, shot lists, notes) remains your own. We do not claim ownership of your content.

Indemnification

You agree to indemnify, defend, and hold harmless SimplistUGC and its creator from any claims, damages, liabilities, and expenses arising from:

• your use of the Service
• your content stored in the Service
• your violation of these Terms
• your violation of any third-party rights

No warranties

The Service is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the reliability, accuracy, or availability of the Service.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the fullest extent permitted by law, SimplistUGC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you have paid us in the twelve months preceding the claim (or $10 if you have not made any payments).

No reliance

The Service is provided as an organizational and productivity tool. You acknowledge that any information, reminders, scripts, or recommendations provided by the Service are for convenience only.

You agree that you are solely responsible for managing your professional obligations, deadlines, and brand agreements.

Data loss

While we strive to maintain reliable data storage, you acknowledge that software services may experience bugs, outages, or data loss.

SimplistUGC is not responsible for the loss, corruption, or deletion of user data stored within the Service.

Third-party services

The Service may rely on third-party services, infrastructure, or APIs. We are not responsible for the availability, performance, or reliability of third-party providers.

Location-based features

Location reminders rely on device operating system services, permissions, and network conditions. These reminders may not always trigger reliably. SimplistUGC does not guarantee that reminders will occur at a specific time or location.

Account termination

We reserve the right to suspend or terminate access to the Service at any time if we believe a user has violated these Terms or used the Service in a harmful or abusive manner.

Service availability

We do not guarantee that the Service will be available at all times or in all locations. Access to the Service may be interrupted for maintenance, updates, or technical issues.

Changes to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved in the courts located in Washington State.

AI-powered features

Creative Assistance. SimplistUGC provides features that utilize third-party artificial intelligence (specifically OpenAI) to generate scripts and shot lists (the "Output"). These are intended as drafts for creative inspiration and production efficiency.

Human-in-the-Loop Requirement. You acknowledge that AI can "hallucinate" or provide inaccurate, incomplete, or biased information. AI-generated output may contain inaccuracies, fictional information, or content that resembles existing works. You are solely responsible for reviewing, editing, and verifying the accuracy and brand-compliance of all Output before filming or publishing. SimplistUGC is not liable for any errors, omissions, or legal claims resulting from your use of unedited AI Output.

Ownership of Output. To the extent permitted by applicable law, you own the Output generated through your account. However, due to the nature of machine learning, you acknowledge that Output may not be unique and other users may generate similar content based on similar prompts.

Compliance & Restrictions. You agree not to use the AI features to generate content that is illegal, defamatory, or violates any third-party intellectual property or privacy rights. We reserve the right to limit your access to AI features if we detect attempts to bypass safety filters or "prompt inject" malicious instructions.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
